1. Scope of Service
CommiCheck provides commission statement reconciliation software designed to help independent insurance agencies compare carrier commission statements against internal agency receivable ledgers.
2. Investigative Tool Disclaimer (No Legal or Accounting Determination)
- Potential Discrepancies Only: CommiCheck identifies and reports potential discrepancies, missing commissions, rate variances, and matching conflicts based on data provided by the agency.
- No Binding Determination: CommiCheck is an analytical and investigative assistant. Findings do not constitute a formal accounting audit, legal advice, regulatory certification, or a binding legal determination that a carrier owes money.
- Independent Verification Required: The agency is solely responsible for verifying and investigating all flagged discrepancies, validating carrier contracts, and determining whether to pursue adjustments.
3. Evaluation Pilot Terms
- Duration: Pilot evaluations are active for 14 calendar days beginning upon the agency’s first successful authorized reconciliation run.
- Usage Limit: Evaluation accounts are capped at a maximum of three (3) reconciliation runs and up to 5,000 rows per CSV file.
- As-Is Basis: During the free pilot evaluation period, the service is provided strictly "AS IS" and "AS AVAILABLE" without warranties of any kind.
4. Subscriptions, Cancellations & Dunning Grace Period
- Subscription Fee: Paid agency access is provided at the advertised recurring rate ($79.00/month or as agreed). Subscriptions renew automatically each billing cycle until canceled.
- Cancellation: Subscribers may cancel at any time. Access continues through the end of the current paid billing period or upon receipt of a final expiration notice.
- Dunning Grace Period: In the event of a temporary payment processing error or routine billing cycle failure, CommiCheck extends a temporary grace period while payment retries occur before terminating agency access.
5. Carrier Relations & Discrepancy Action
CommiCheck generates comparative analysis reports based strictly on the uploaded CSV records. Agency acknowledges and agrees that:
- CommiCheck is not a party to any contract between Agency and any insurance carrier or general agency.
- Agency assumes all risk and responsibility for any communication, formal audit claim, clawback inquiry, or legal action directed to a carrier.
- CommiCheck shall have no liability whatsoever for carrier chargebacks, relationship harm, or lost carrier appointments resulting from Agency actions.
6. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall CommiCheck or its founders be liable for any indirect, incidental, special, or consequential damages. CommiCheck's total aggregate liability arising out of or related to this service shall not exceed the amount actually paid by the agency in the preceding three months, or $100.00 during an unpaid evaluation.
